ServiceNow to Acquire Armis in $7.75 Billion Deal: A Significant Step in Cybersecurity

ServiceNow has taken a bold step by announcing its acquisition of Armis for an impressive $7.75 billion in cash. This move is one of the largest investments in security that ServiceNow has made to date. Armis is recognized worldwide for its expertise in cyber exposure management and cyber-physical security. The platform enables organizations to gain real-time visibility and assess risks across various sectors, including IT, operational technology (OT), medical devices, industrial systems, and critical infrastructure.

Enhancing Security Workflow Offerings

The acquisition is set to significantly enhance ServiceNow’s security workflow portfolio. As businesses increasingly embrace artificial intelligence (AI), enhancing cybersecurity measures has become a top priority for executives around the globe. According to projections, global spending on information security is anticipated to rise by 12.5% by 2026, reaching a staggering $240 billion. This growth is largely fueled by escalating security threats and the rapid advancement of AI and generative AI.

With attack surfaces expanding due to the proliferation of connected devices and autonomous systems, companies require real-time intelligence and automated response capabilities to outpace potential threats. Integrating Armis into ServiceNow’s offerings is expected to bolster its capabilities in security and risk management, potentially tripling its market opportunity in this crucial domain.

Insights from Leadership

Amit Zavery, the president, COO, and chief product officer at ServiceNow, stated that this acquisition allows the company to offer what he describes as “an industry-defining strategic cybersecurity shield” tailored for the evolving AI landscape. He emphasized the necessity for “intelligent trust and governance” across various technological domains, asserting that these elements are non-negotiable in today’s environment. The partnership with Armis aims to provide real-time, comprehensive protection across an organization’s entire technological footprint.

On the other hand, Armis CEO Yevgeny Dibrov highlighted the urgent need for effective security in the current threat landscape. He commented, “AI is transforming the threat environment faster than organizations can adapt. Every connected asset is now a potential vulnerability.” Joining forces with ServiceNow, he believes, will empower customers with the intelligence and automation required to effectively mitigate risks and enhance security on a large scale.

Unified Platform for Greater Efficiency

The collaboration promises to unify Armis’ strengths in agentless asset discovery, classification, and risk prioritization with ServiceNow’s advanced workflow automation and AI Control Tower. This combination will streamline processes and allow organizations to automatically detect vulnerabilities, distribute insights to relevant teams, and initiate remediation efficiently. This cohesive approach aims to eliminate the challenges posed by fragmented tools while providing a singular, trustworthy perspective on cyber risks.

Strong Market Position

Armis comes into this acquisition boasting impressive market performance, with over $340 million in annual recurring revenue (ARR) and a year-on-year growth rate exceeding 50%. Additionally, the platform has gained traction among leading corporations, with its services currently employed by 35% of the Fortune 100 companies.

The acquisition is slated to close in the latter half of 2026, pending regulatory approvals. Following the transaction, the team at Armis is expected to integrate into ServiceNow, combining their strengths to elevate the standards of cybersecurity solutions in the market.

In summary, ServiceNow’s decision to acquire Armis marks a significant advancement in its cybersecurity strategy, positioning the company strongly in a rapidly evolving digital landscape.
