Sophos Completes $859 Million Acquisition of Secureworks, Strengthening Cybersecurity Leadership

In a significant move within the cybersecurity landscape, Sophos has successfully completed its acquisition of Secureworks in an all-cash transaction valued at approximately $859 million. This strategic acquisition positions Sophos as the leading pure-play provider of Managed Detection and Response (MDR) services, now supporting over 28,000 organizations globally.

With Secureworks’ common stock ceasing to trade on Nasdaq, the integration promises to enhance Sophos’ security operations platform, which boasts hundreds of built-in integrations designed to provide adaptive protection against an ever-evolving threat landscape. The merger will empower organizations, particularly those with diverse IT environments, to safeguard their technology investments while achieving greater operational efficiencies.

Joe Levy, CEO of Sophos, emphasized the growing demand for MDR services, stating, “The market is embracing MDR as a clear means to deliver positive cybersecurity outcomes.” He highlighted Sophos’ advanced capabilities in ransomware detection and threat analysis, bolstered by the integration of Secureworks’ Counter Threat Unit and advisory teams.

As a channel-first provider, Sophos remains committed to delivering innovative security solutions to its global network of resellers, Managed Service Providers (MSPs), and Managed Security Services Providers (MSSPs). The acquisition is set to expand Sophos’ service offerings, including identity threat detection and next-gen security information and event management (SIEM), all within a single, open platform.

Under the terms of the agreement, Secureworks shareholders, including Dell Technologies, will receive $8.50 per share, representing a 28% premium over the stock’s average price. With this acquisition, Sophos is poised to enhance its capabilities and provide even stronger defenses against the complex cyber threats facing organizations today.
